October 3, 2009. Save the date! It’s time again for the Sister Cities Golf Tournament.

This year we have a group of 7 excellent students from Atlantic H.S., Boca Raton H.S. and American Heritage H.S. who will be traveling to Japan. With rising costs and falling donations, we need your help more than ever. If you play golf and can get a foursome together, that would be great. We also need hole sponsors, and we are always looking for raffle prizes.

I hope you will consider supporting this tournament. The trip to Japan is a once in a lifetime experience for our students, and they truly appreciate your support. Thank you.

The Delray Beach Sister Cities board agreed to approve a retreat to be held on September 12th at the Cities Golf Course upper room from 8:30 am to 1 pm.

Contractual Agreement
Sister Cities of Delray, Inc. and
Nonprofits FirstTM, a Program of the
Executive Service Corps of Southeast Florida

This Agreement is entered into on 8/10/09, by Sister Cities of Delray, Inc. hereafter referred to as “Sister Cities” and Executive Service Corps of Southeast Florida, hereafter referred to as “ESC”, dba Nonprofits FirstTM, hereafter referred to as “Nonprofits First”. The purpose of this Agreement is to define the specific responsibilities of Sister Cities and Nonprofits FirstTM regarding consulting services. This contract begins 8/10/09 and ends September 30, 2009. The Agreement may be amended upon mutual consent of both parties.

Sister Cities has requested Nonprofits First to facilitate a half-day board retreat.

Under this Agreement, Sister Cities will:

Arrange for the participation of invited board members
Provide requested materials such as flip chart, markers, name tags, table tents, etc.
Provide appropriate meals and snacks for participants and presenters
Provide venue for event
Advise and approve agenda prepared by Nonprofits FirstTM at least two weeks in advance of event
Provide evaluation of facilitation services for Nonprofits First

Under this Agreement, Nonprofits First agrees to:

Develop a board retreat agenda and appropriate retreat handouts
Facilitate one-half day retreat with up to 25 participants
Coordinate agenda with Board President
Prepare summary of meeting outcomes

Agreement between Nonprofits First and Sister Cities This agreement will end on September 30, 2009. Additional Statements of Work can be added under this contract during this fiscal year.

Scope of Work: One-half Day Board Retreat

Activity

Board Member Retreat: prepare and deliver a one-half day board retreat designed to include presentation and interactive sessions re: board roles and responsibilities; strategies for effective board committee planning and implementation; and review and discussion of strategic plan. Session will include review of the results of the board members assessment tool.

Deliverables will include:

Fee for services. Consultant services are charged at a fixed rate of $825 for the one half-day retreat and summary report.

Term and Termination

Term. Unless stated otherwise, consulting services shall commence on the date of activation as indicated on Nonprofits First Contract or other document confirming acceptance of this agreement, and shall terminate or be renewed as indicated in the Contract.

Termination. Nonprofits First may terminate this agreement immediately in the event Client breaches these Terms and Conditions. Nonprofits First may modify the terms, conditions, and policies of the consulting services with written notice to the Client. Client may terminate consulting services for any reason upon thirty (30) days’ written notice to Center for Nonprofit Excellence; client may terminate at any time for failure by Nonprofits First to comply with the conditions of this Agreement. Nonprofits First will invoice Client for hours completed at the time of termination.

Survival of Terms The terms and limitations, exclusions and warranties contained herein that by their sense and context are intended to survive the termination of these Terms and Conditions, shall so survive, including without limitation the confidentiality and payment terms provisions.

Indemnification

Client shall indemnify and hold harmless Nonprofits First from any and all claims, demands, suits, actions, proceedings, loss, cost and damages of any kind, including reasonable attorney’s fess, caused by or arising out of, or contributed to, in whole or part, by reasons of any act, omission, professional error, fault, mistake or negligence of Nonprofits First, its employees, agents, representatives or subcontractors in connection with or incidental to the performance of this agreement.

General

Force Majeure
Nonprofits First will not be liable for performance and transportation delays or for non-performance, due to causes beyond its reasonable control.

Assignment; Right to Subcontract
Nonprofits First may subcontract Nonprofits First’s obligations to provide Nonprofits First Consulting Services or parts thereof to another party. The provision of Consulting Services is not assignable by Client without the prior written consent of the Nonprofits First, and any attempted assignment without such consent shall be void.

Additional Legal Rights
These Terms and Conditions afford Client specific legal rights. Client may have additional legal rights that vary from jurisdiction to jurisdiction.

Governing Law and Venue
This agreement and all transactions contemplated by this agreement shall be governed by, and construed and enforced in accordance with, the laws of the State of Florida without reference to the choice of law principles thereof. The parties consent to and hereby submit to the exclusive jurisdiction of any state or federal court located in Palm Beach County, Florida in connection with any action, suit or proceeding arising out of or relating to this agreement.

Agreement in English
The parties hereto confirm that they have requested that this Agreement and all related documents be drafted in English.

Notices
Notices required by Nonprofits First shall be sent by registered or certified mail, or commercial courier service, to Nonprofits First, 2300 High Ridge Rd, Suite 132, Boynton Beach, FL 33426 or via email at kbrink@nonprofitsfirst.org, or shall be sent by registered or certified mail, or commercial courier service to Client at the address set forth in Nonprofits First Contract. Such notice shall be deemed given: three (3) business days after the date of mailing if sent by certified or registered mail; or one (1) business day after the date of deposit with a commercial courier service offering next business day service with confirmation of delivery; or one (1) business day after confirmation of successful transmission if sent by electronic mail.

Order of Precedence
If any inconsistencies or conflicts arise between these Terms and Conditions, Contract, and any Statement of Work, the following order of precedence shall apply: Terms and Conditions; Contract, Statement of Work.

Complete Agreement
These Terms and Conditions including any additional terms referenced herein constitute the entire agreement between Nonprofits First and Client with regard to Nonprofits First Consulting Services and supersedes all prior negotiations, agreements, and understandings with respect to the subject matter hereof, and no addition to or deletion from or modification of any of the provisions hereto shall be binding upon Nonprofits First unless made in writing and signed by an authorized representative of Nonprofits First. Any term or condition on any order or other document submitted by Client shall be of no force or effect whatsoever, and is specifically rejected.
